CBB Releases Updated Fit and Proper Requirements Module for Financial Institutions

The Central Bank of Bahrain has published a revised Fit and Proper Requirements Module, setting stricter standards for the appointment and ongoing assessment of board members and senior executives at licensed financial institutions.

The updated module strengthens corporate governance frameworks across Bahrain's financial sector by requiring enhanced disclosure of qualifications, experience, and financial integrity for individuals holding significant positions at regulated entities. The requirements apply to banks, insurance companies, and capital market institutions supervised by the CBB.

The revision introduces more rigorous due diligence processes for assessing whether candidates for board and senior management positions meet the required standards of competence, integrity, and financial soundness. Institutions must now conduct more thorough background checks and provide the CBB with comprehensive documentation supporting their assessment of each candidate.

The updated standards also strengthen ongoing monitoring requirements, meaning that fitness and propriety assessments are not limited to the point of appointment but continue throughout an individual's tenure. This addresses situations where circumstances change after appointment that could affect a person's suitability for their role.

The CBB said the revised module aligns with international best practices for financial sector governance and reflects the regulator's commitment to maintaining the integrity and stability of Bahrain's financial system. Strong governance at individual institutions is considered essential for systemic stability.

The changes apply across all CBB-regulated entities and institutions are expected to implement the updated requirements within the timeline specified by the regulator.
